These Terms and Conditions govern your access to ecomholders.com and your purchase or use of services provided by Ecomholders.

By using our website, requesting work, approving a quotation, submitting payment, or instructing us to begin a project, you agree to these Terms and Conditions.

If you do not agree, you must not purchase or use our services.

1. About Ecomholders

Ecomholders provides ecommerce creative and development services, which may include:

  • Shopify product-page design
  • Product-page redesign
  • Shopify theme customisation
  • Custom Shopify or Liquid sections
  • Product-image design
  • Benefit graphics and comparison images
  • Product-page copywriting
  • Mobile optimisation
  • Store-design services
  • Related ecommerce design and consulting work

The exact service, price, scope, and delivery requirements will be described in your quotation, invoice, order page, or written communication with us.

2. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to purchase our services.

When purchasing on behalf of a company, you confirm that you have authority to bind that company to these Terms.

3. Quotes and Project Scope

Before work begins, we may provide a written quotation or confirm the project scope through email, WhatsApp, invoice, or another written channel.

The project scope may specify:

  • The pages or sections to be created
  • The number of product images or graphics
  • Whether copywriting is included
  • The number of revision rounds
  • Estimated delivery timing
  • Required Shopify access
  • The total price
  • Any additional deliverables

Anything not expressly included in the agreed scope is considered additional work and may require a separate fee.

4. Client Responsibilities

You agree to provide accurate and complete materials reasonably required for the project, including where relevant:

  • Product information
  • Product and lifestyle images
  • Logos and brand assets
  • Supplier or competitor links
  • Pricing and offer information
  • Shipping information
  • Product benefits and specifications
  • Legal disclaimers
  • Shopify collaborator access
  • Timely feedback and approvals

You are responsible for checking that all information you provide is accurate, lawful, and authorised for use.

Delays in providing materials, access, feedback, or approvals may delay delivery.

5. Product Claims and Legal Compliance

You are solely responsible for the products and services sold through your store.

You must verify that all claims, testimonials, reviews, pricing, discounts, guarantees, health statements, product descriptions, before-and-after materials, and other information used on your page are:

  • Truthful
  • Accurate
  • Substantiated
  • Not misleading
  • Compliant with advertising rules
  • Compliant with consumer-protection laws
  • Compliant with the rules of Shopify, payment providers, advertising platforms, and applicable authorities

We may help structure or improve copy, but we do not independently verify scientific, medical, financial, legal, or performance claims unless expressly agreed in writing.

You must review and approve all final content before publishing it.

6. Payments

Unless otherwise agreed:

  • Payment is required before work begins
  • Prices are stated in the currency shown on the quotation, invoice, or checkout page
  • You are responsible for bank, transfer, conversion, tax, or payment-processing fees
  • Work may be paused until outstanding payments are received
  • Additional work outside the agreed scope will be charged separately

Payments must be made using the approved payment method provided by us.

7. Delivery Times

Delivery estimates begin after:

  • Payment has been received
  • All required project materials have been provided
  • Necessary store access has been granted
  • The scope has been confirmed

Any delivery date is an estimate unless we expressly guarantee a deadline in writing.

We are not responsible for delays caused by:

  • Missing client materials
  • Delayed feedback
  • Access problems
  • Third-party applications
  • Shopify outages
  • Theme conflicts
  • Requests that expand the project scope
  • Circumstances outside our reasonable control

8. Revisions

Your service may include a stated number of reasonable revision rounds.

A revision means an adjustment to the agreed design or content. It does not include:

  • Starting again with a completely different concept
  • Changing the product after work begins
  • Rebuilding unrelated parts of the store
  • Adding new sections or features
  • Changing the agreed brand direction
  • Replacing approved work with a new strategy
  • Revisions caused by inaccurate information supplied by you

Additional or out-of-scope revisions may require an additional fee.

You should submit revision requests clearly and, where possible, in one consolidated message.

9. Client Approval

You are responsible for reviewing the final work before publication or launch.

Approval may occur when you:

  • Confirm approval in writing
  • Ask us to publish the work
  • Publish or use the work yourself
  • Begin advertising or sending traffic to the page
  • Fail to report a visible issue within the agreed review period

Approval does not remove your rights under our Refund Policy, but it may affect whether a request qualifies for a full refund.

10. Shopify Themes and Third-Party Applications

Our work may depend on Shopify themes, applications, integrations, or third-party software.

We cannot guarantee that third-party services will:

  • Remain available
  • Remain free
  • Continue supporting the same features
  • Remain compatible after an update
  • Operate without interruptions or errors

Unless specifically included in the project, you are responsible for third-party subscriptions, application fees, theme licences, and platform costs.

We are not responsible for issues caused by later theme updates, application updates, code changes, or modifications made by you or another service provider after delivery.

11. Backups

Before granting access or allowing modifications, you should back up your Shopify theme and important store content.

We may create a duplicate theme where reasonably practical, but you remain responsible for maintaining your own backups.

We are not liable for losses that could reasonably have been prevented by maintaining an appropriate backup.

12. Ownership of Client Materials

You retain ownership of the materials you provide to us.

You grant us a temporary, non-exclusive licence to use those materials solely to complete the project, communicate with you, provide support, and exercise any portfolio rights described in these Terms.

You confirm that you have permission to use and share all materials provided to us.

13. Ownership of Completed Work

Subject to full payment, you receive the right to use the final approved deliverables created specifically for your project.

Unless otherwise agreed:

  • You do not receive ownership of our general methods, templates, reusable code, systems, processes, know-how, or pre-existing assets
  • We may reuse general techniques, layouts, knowledge, and non-client-specific code
  • Third-party assets remain subject to their original licences
  • Drafts, unused concepts, and rejected versions remain our property
  • Editable or source files are included only when expressly stated

You must not resell, redistribute, or offer our reusable templates or code as a competing standalone service without written permission.

14. Portfolio Rights

Unless you request confidentiality in writing before the project begins, we may display publicly available completed work in:

  • Our website portfolio
  • Social-media accounts
  • Advertisements
  • Sales presentations
  • Case studies

We will not intentionally publish private store credentials, non-public financial information, or confidential customer data.

15. Confidentiality

Each party agrees to use reasonable care to protect confidential information received from the other party.

Confidential information does not include information that:

  • Is already publicly available
  • Was lawfully known before disclosure
  • Is received lawfully from another source
  • Is independently developed
  • Must be disclosed by law

Store credentials and sensitive access information will be treated as confidential and used only for the agreed work.

16. No Guarantee of Sales or Advertising Results

We design pages intended to improve presentation, clarity, trust, and buying flow.

However, we do not guarantee:

  • Sales
  • Revenue
  • Conversion rates
  • Advertising profitability
  • Return on advertising spend
  • Platform approval
  • Payment-provider approval
  • Business growth
  • Search-engine rankings
  • Any specific commercial result

Performance depends on many factors outside our control, including the product, price, offer, market, traffic quality, advertising, shipping, customer service, brand reputation, and store operations.

Examples, portfolio work, testimonials, and previous results do not guarantee that you will achieve similar results.

17. Refunds and Cancellations

Refund and cancellation requests are governed by our Refund Policy, which forms part of these Terms.

Our advertised 60-day money-back guarantee is subject to the eligibility requirements, exclusions, and procedures stated in that policy.

18. Prohibited Uses

You may not use our website or services to:

  • Sell illegal, counterfeit, stolen, or prohibited products
  • Make fraudulent or intentionally misleading claims
  • Violate intellectual-property rights
  • Distribute malware or malicious code
  • Mislead customers or payment providers
  • Conduct unlawful surveillance or data collection
  • Impersonate another person or business
  • Violate Shopify’s policies or applicable law
  • Abuse, threaten, or harass our team

We may refuse or discontinue a project where we reasonably believe it creates legal, ethical, security, or reputational risk.

19. Suspension or Termination

We may suspend or terminate services if:

  • Payment is overdue
  • You fail to provide required information
  • You engage in abusive or threatening behaviour
  • The requested work appears unlawful or deceptive
  • You breach these Terms
  • Continuing the project would expose us to unreasonable legal or security risk

Where appropriate, we will inform you of the reason and address any refund according to the work already completed and our Refund Policy.

20. Limitation of Liability

To the fullest extent permitted by law, Ecomholders will not be liable for indirect, incidental, special, punitive, or consequential losses, including:

  • Lost sales
  • Lost profits
  • Lost advertising spend
  • Business interruption
  • Loss of data
  • Loss of reputation
  • Losses caused by third-party platforms or applications

Our total liability relating to a specific project will not exceed the amount you paid us for that project.

Nothing in these Terms excludes liability that cannot legally be excluded or limited.

21. Indemnification

You agree to indemnify and hold Ecomholders harmless from claims, losses, liabilities, damages, and reasonable expenses arising from:

  • Products sold through your store
  • Materials or claims you supplied or approved
  • Your breach of these Terms
  • Your violation of applicable law
  • Your infringement of another party’s rights
  • Your misuse of the completed work

This section applies only to the extent permitted by applicable law.

22. Force Majeure

We are not responsible for delays or failure caused by events outside our reasonable control, including natural disasters, internet outages, platform failures, government action, war, civil disruption, labour disputes, power failures, or widespread technical incidents.

23. Governing Law

26. Changes to These Terms

We may update these Terms from time to time.

The updated version will be posted on this page with a revised “Last updated” date. Changes will not retroactively alter an existing paid project unless required by law or agreed by both parties.
